These Affiliate Program Terms of Service ("Affiliate Terms") govern participation in the LexPrep affiliate program (the "Program"). The Program is operated by [LexPrep Legal Entity Name] ("LexPrep," "we," "us," or "our"). By applying to or participating in the Program, you ("Affiliate," "you," or "your") agree to these Affiliate Terms and our general Terms of Service and Privacy Policy (collectively, the "Agreement"). If there is a conflict, these Affiliate Terms control for Program-related matters.
The Program allows approved Affiliates to promote LexPrep products and services using a unique referral link and/or promotional codes provided by LexPrep. Subject to these Affiliate Terms, Affiliates may earn commissions on certain qualifying purchases attributable to their referral link or approved promotional code.
Eligibility. You must be legally able to enter into contracts in your jurisdiction and comply with all applicable laws and regulations.
Application and Approval. Enrollment is subject to LexPrep’s review and approval in our sole discretion. We may accept or reject any application for any reason.
Account Information. You agree to provide accurate and complete information and keep it current, including payment and tax information.
Unique Referral Link. If approved, LexPrep will provide you with a unique referral link (the "Affiliate Link").
Tracking. LexPrep uses tracking systems to attribute referrals. LexPrep’s tracking and reporting are the authoritative record for attribution and commission calculations.
Proper Use. You may only use Affiliate Links and promotional codes exactly as provided and only in approved channels consistent with these Affiliate Terms. You may not manipulate, mask, or alter links in a manner intended to obscure the source of traffic or interfere with tracking.
Standard Discount. LexPrep may provide a standard promotional discount associated with Affiliate Links and/or codes.
Enhanced Discount for Elite Tier. An enhanced promotional discount may be available only to select Affiliates designated by LexPrep as "Elite" (or the highest tier) and only as expressly authorized by LexPrep.
No Guarantee. LexPrep may modify, suspend, or remove any discount offer at any time in accordance with Section 12 (Changes to the Program).
Tiers. The Program may include multiple tiers based on performance, audience quality, compliance history, or other criteria determined by LexPrep.
Advancement and Eligibility. Tier eligibility, advancement criteria, and benefits are determined by LexPrep in our sole discretion.
Review and Reclassification. LexPrep may review Affiliate status periodically and may reclassify tier status based on updated criteria, performance, compliance, or risk considerations.
Commission Rates. Commission rates and rules may vary by tier, product, subscription plan, promotion, region, or time period, and are determined by LexPrep.
Qualifying Purchases. Commissions are earned only on purchases that (a) are made by a legitimate customer, (b) are properly tracked and attributed to your Affiliate Link or approved code, and (c) are not excluded under these Affiliate Terms.
Net Revenue Basis. Unless otherwise stated by LexPrep, commissions are calculated on net revenue (e.g., after promotional discounts and excluding taxes, fees, chargebacks, refunds, and disputed payments).
Adjustments. LexPrep may withhold, reverse, or adjust commissions for refunds, chargebacks, disputes, suspected fraud, policy violations, or attribution errors.
Payment Schedule and Method. Payment timing, thresholds, and methods are set by LexPrep and may change as described in Section 12.
Tax Responsibilities. You are responsible for all taxes arising from payments you receive under the Program. You agree to provide any required tax documentation and information. LexPrep may withhold amounts as required by law.
Brand Assets. LexPrep may provide brand assets (logos, marks, copy, creative) for your use. You receive a limited, revocable, non-exclusive, non-transferable license to use them solely to promote LexPrep under this Agreement.
No Impersonation. You may not present yourself as LexPrep, claim to be an employee/agent, or imply endorsement beyond participation in the Program.
No Misleading Claims. You may not make false, misleading, or unsubstantiated claims about LexPrep, including outcomes, guarantees, pricing, availability, or affiliation.
Approval Rights. LexPrep may require pre-approval of certain promotional materials or placements and may request edits or removal at any time.
FTC/Advertising Disclosures. You must clearly and conspicuously disclose your relationship with LexPrep anywhere you promote LexPrep (e.g., "I may earn a commission if you sign up"). Disclosures must comply with FTC endorsement guidelines and all applicable advertising laws.
Privacy and Data. You may not collect, store, or share personal data from referrals except as permitted by applicable law and LexPrep’s written instructions.
Legal Compliance. You are responsible for complying with all applicable laws, regulations, and platform rules (including email/SMS laws, anti-spam rules, and social media platform policies).
You may not, directly or indirectly:
Self-Referral / Fraud. Refer yourself, create fake accounts, or generate purchases through fraudulent, deceptive, or automated means.
Cookie Stuffing / Forced Clicks. Use cookie stuffing, forced clicks, invisible iframes, or similar tactics to improperly set tracking.
Unauthorized Paid Search. Bid on LexPrep trademarks or confusingly similar terms, or run ads that impersonate LexPrep, unless explicitly authorized in writing.
Coupon/Deal Misuse. Post, distribute, or seed promo codes on coupon sites, deal forums, or similar channels unless expressly permitted by LexPrep in writing.
Spam. Send unsolicited messages (email, SMS, DMs) or engage in spammy behavior.
Harmful Content. Promote LexPrep alongside content that is unlawful, hateful, discriminatory, sexually explicit (where inappropriate), violent, or otherwise brand-damaging in LexPrep’s sole judgment.
Violation of this section may result in immediate suspension or termination and forfeiture of unpaid commissions.
If LexPrep shares non-public information with you (including commission structures, roadmap, conversion data, or internal materials), you agree to keep it confidential and use it only for Program participation.
Right to Suspend/Terminate. LexPrep may suspend or terminate your participation in the Program at any time, with or without notice, in LexPrep’s sole discretion.
Link/Code Deactivation. LexPrep may disable, cancel, revoke, or redirect any Affiliate Link or promotional code at any time, including for compliance, risk, operational, or business reasons.
Effect of Termination. Upon termination, you must immediately stop using LexPrep brand assets, Affiliate Links, and promo codes, and remove LexPrep promotional materials where reasonably possible.
Forfeiture/Withholding. LexPrep may withhold or forfeit unpaid commissions associated with violations, fraud, chargebacks, or disputed transactions, or where required by law.
We Can Change Terms. LexPrep may modify these Affiliate Terms and/or any part of the Program at any time, including (without limitation) commission rates/percentages, tier criteria, discount offers, qualifying purchase rules, attribution rules, and payment procedures.
Effective Date. Changes take effect upon posting the updated Affiliate Terms or upon notice to you (email, dashboard notice, or other reasonable means), unless we state otherwise.
Acceptance by Continued Participation. Your continued participation in the Program after changes become effective constitutes your acceptance. If you do not agree, you must stop participating and discontinue use of Affiliate Links and codes.
THE PROGRAM IS PROVIDED "AS IS" AND "AS AVAILABLE." LEXPREP MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE PROGRAM, TRACKING, AVAILABILITY, OR YOUR ABILITY TO EARN COMMISSIONS. LEXPREP DOES NOT GUARANTEE ANY LEVEL OF REFERRALS, CONVERSIONS, OR INCOME.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEXPREP WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE PROGRAM OR THESE AFFILIATE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.
You agree to indemnify, defend, and hold harmless LexPrep and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from or related to (a) your participation in the Program, (b) your marketing activities, (c) your violation of these Affiliate Terms, or (d) your violation of any law or third-party rights.
You are an independent contractor. Nothing in this Agreement creates a partnership, joint venture, employment, franchise, or agency relationship between you and LexPrep.
These Affiliate Terms are governed by the laws of [State/Country], without regard to conflict-of-law principles. Any disputes arising out of these Affiliate Terms will be resolved in [Venue/County/State], unless otherwise required by applicable law or specified in LexPrep’s general Terms of Service.
Assignment. You may not assign this Agreement without LexPrep’s prior written consent. LexPrep may assign this Agreement freely.
Severability. If any provision is deemed unenforceable, the remainder will remain in effect.
No Waiver. Failure to enforce any provision is not a waiver.
Entire Agreement. These Affiliate Terms, together with LexPrep’s general Terms of Service and Privacy Policy, constitute the entire agreement regarding the Program.
